Agreement to Terms

By engaging Freed Marek LLC ("we," "us," or "our") for services, or by using any platform, product, or website developed or operated by Freed Marek LLC, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

Services

Freed Marek LLC provides custom digital development, platform engineering, web design, AI system integration, strategic consulting, and related professional services. The specific scope, deliverables, and timelines for each engagement are defined in a written proposal, agreement, or statement of work (SOW).

Intellectual Property

Unless otherwise specified in a written agreement:

  • All custom work product created for a client becomes the client's property upon full payment
  • Freed Marek LLC retains the right to use general techniques, knowledge, and non-proprietary frameworks developed during an engagement
  • Pre-existing intellectual property, proprietary tools, and internal frameworks remain the property of Freed Marek LLC
  • Freed Marek LLC may display completed work in its portfolio unless the client requests otherwise in writing

Payment Terms

Payment terms are outlined in each individual engagement agreement. General terms include:

  • Invoices are due upon receipt unless otherwise stated
  • Late payments may be subject to a 1.5% monthly interest charge
  • Work may be paused on accounts with overdue balances exceeding 15 days
  • All prices are quoted in USD unless otherwise specified

Client Responsibilities

Clients agree to:

  • Provide timely feedback, content, assets, and approvals as needed for project progress
  • Ensure that all materials provided to Freed Marek LLC do not infringe on third-party intellectual property rights
  • Communicate project changes or scope adjustments in writing

Limitation of Liability

To the fullest extent permitted by law, Freed Marek LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, platforms, or deliverables. Our total liability for any claim shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

Warranties

Freed Marek LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that deliverables will be error-free or uninterrupted. All other warranties, whether express or implied, are disclaimed to the fullest extent permitted by law.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of any agreement between the parties.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in the State of Texas.

Changes to Terms

Freed Marek LLC reserves the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised terms.
